What decision ? If the majority shareholder isn't there, the rest of the board don't have any decision to make do they ?

board meeting = one member one vote

should a belligerent majority shareholder be outvoted at a directors meeting (assuming he is a director/chairman/secretary) then he can call for a shareholders meeting to overrule being overruled. And as a 50% or over shareholder can't be outvoted at that meeting ......
